Corporate Controllers Unit Responds to New Rules by the Securities and Exchange Commission

COLORADO SPRINGS, CO, March 21, 2011 (Press-News.org) Reporting entities, such as limited liability companies, corporations, nonprofit corporations, and foreign entities, are required by law to submit a Periodic Report each year to the Secretary of State. In 2002, the Securities and Exchange Commission accelerated the filing of the periodic reports by reporting entities shortening the filing deadlines for quarterly reports from 45 to 35 calendar days after period end, and from 90 to 60 calendar days after fiscal year end for annual reports.

Pursuant to the Colorado Revised Statutes, Corporate Controllers Unit receives and files Periodic Reports for a variety of businesses with the Secretary of State. Corporate Controllers Unit supports and improves Colorado's business and nonprofit activities by providing efficient and professional Periodic Report filing and support services to Colorado Businesses. In addition, Corporate Controllers Unit provides certification of services completed which are also available through images on the Secretary of State's website.

Corporate Controllers Unit Periodic Report services also help companies comply with Securities and Exchange Commission requirements. A new rule passed in 2002 dictates that entities subject to the accelerated filing deadlines disclose annual reports the location from which investors can obtain access to company filings. This includes whether the company provides access to its reports on Forms 10-K, 10-Q and 8-K on their company website. They also require that periodic reports be posted free of charge on the website the same day those reports are electronically filed or furnished to the Commission. Corporate Controllers Unit reviews the Periodic Reports it receives and files them directly to you electronically at the same time it submits them to the Securities and Exchange Commission.

Each reporting entity that fails or refuses to deliver to the Secretary of State a Periodic Report and pay the prescribed processing fee on the required due date is subject to a penalty. That is why it is important to have a competent registered agent.
