HOUSTON, TX, June 26, 2013 (Press-News.org) Pythagoras Group, Inc. announces issuance of $175,000,000 credit facility for gold mine development and exploration project. The credit facility is structured as an asset backed securitization over collateralized by proven gold reserves. The pricing of the senior secured bonds for private placement is 12 year term, fully amortizing 12.00% annual coupon with a 6.00% semi-annual payment, $1,000 denominations offered at 100 basis points discount.
The issuer is a UK special purpose entity structured as a holding company. The bonds will be offered only to qualified institutional buyers in the United States in reliance on Rule 144A under the Securities Act of 1933, and outside the United States to non-U.S. persons in reliance on Regulation S under the Securities Act of 1933 (the "Securities Act"). The bonds will not be registered under the Securities Act, and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
