Corporate Team at Michelman & Robinson Completes Multimillion Dollar Acquisition

2013-05-26
ENCINO, CA, May 26, 2013 (Press-News.org) Michelman & Robinson, LLP's Corporate Department represented rapidly growing personal lines insurance agency Confie Seguros in its acquisition of Texas State Low Cost Insurance, one of the most established retail agencies in Texas. The acquisition will provide the national personal lines insurance agency with an even stronger distribution network in Texas beyond the company's current locations in San Antonio and Houston.

Over the last five years, Confie Seguros has built a national portfolio of regional auto insurance brokerages and is now rated among the top 10 in revenues in Insurance Journal's latest top 100 ranking of insurance agencies and in Best's Review's 2012 Top 20 Global Insurance Brokers.

A team of attorneys, led by Corporate and Securities Department Chair Douglas M. Morea, Partner David Schwartz and associates Jeffrey B. Gamsey and Jane Rose, utilized their vast experience in business formations, mergers and acquisitions, and employment matters to close the transaction under an extremely tight timeframe.

"We have represented Confie Seguros in a number of prior acquisitions, but this particular transaction had many unique aspects, including licensing and employment issues. Structuring a deal to satisfy the parties and close the transaction under an aggressively set deadline was rewarding. I was proud of my dedicated team that worked around the clock to secure the best result for our client, and I am pleased with the exceptional job they accomplished in completing this transaction," said Mr. Morea.

Mordy Rothberg, President of Confie Seguros, said, "Texas State Low Cost Insurance is one of the premier agencies in the state and a very well-run company. In addition to providing additional scale to our Texas operations, Texas State Low Cost has a long-standing reputation that will provide opportunities for us to identify strategic fill-in acquisitions throughout the state of Texas. Michelman & Robinson's Doug Morea is a trusted advisor, and his team yet again provided unmatched experience and excellent counsel throughout this transaction."

Douglas M. Morea advises corporations and other businesses, and their owners, on a variety of legal issues, including complex business transactions, equity and debt issuances, general corporate matters and governance issues. Mr. Morea is an expert in mergers and acquisitions, having successfully handled well over one hundred mergers and acquisitions and joint ventures. He has extensive experience in "roll-up" acquisition programs of leveraged, private equity sponsored companies. Mr. Morea has also represented sellers of businesses, and he has represented management teams in leveraged buyouts of their companies.

David A. Schwartz's practice focuses on venture capital, private equity, mergers and acquisitions, general corporate matters and management, and governance issues. He regularly represents entrepreneurs, emerging growth and more mature companies with respect to a full spectrum of their legal needs, including counseling clients on formation and organization, growth and development and advising their boards of directors.

Jeffrey Gamsey's practice focuses on mergers and acquisitions, private equity, venture capital, general corporate matters and corporate governance. He counsels emerging as well as later-stage companies with respect to corporate formation, organization, growth and development.
